1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and RankReview Technologies Private Limited ("RankReview," "we," "us," or "our"), a company registered in India, governing your access to and use of the RankReview platform, including our website at rankreview.in, mobile applications, and all related services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

RankReview is an AI-powered review management platform designed to help businesses manage their online reputation. Our Service includes, but is not limited to:

• Integration with Google Business Profile to sync and display reviews
• AI-powered generation of review response suggestions
• Analytics and reporting on review performance and trends
• Competitor monitoring and benchmarking
• Keyword tracking and local SEO insights
• QR code generation for collecting customer reviews
• Notifications via WhatsApp, email, and in-app alerts

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

4. User Accounts

4.1 Account Registration

To access certain features of the Service, you must create an account. During registration, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information. We recommend using strong, unique passwords and enabling any available security features.

5. Google Business Profile Integration

5.1 Authorization

Our Service integrates with Google Business Profile through Google's official APIs. When you connect your Google account, you authorize RankReview to:

• Access your Google Business Profile information
• Read reviews associated with your business listings
• Post review responses on your behalf (only with your explicit approval)
• Access basic profile information from your Google account

5.2 Google Terms Compliance

You acknowledge and agree that:

• Your use of Google services through RankReview is subject to Google's Terms of Service
• You have the legal authority to manage the connected Google Business Profile(s)
• You will comply with all Google policies regarding business listings and reviews
• RankReview's use of Google APIs adheres to the Google API Services User Data Policy

5.3 Revoking Access

You may revoke RankReview's access to your Google account at any time through your Google Account settings at myaccount.google.com/permissions. Revoking access will prevent the Service from accessing new review data but will not automatically delete data already collected.

6. AI-Generated Content

6.1 Nature of AI Responses

Our Service uses artificial intelligence to generate suggested review responses. These AI-generated suggestions are provided as recommendations only and require your review and approval before posting.

6.2 Your Responsibility

You acknowledge and agree that:

• You are solely responsible for reviewing, editing, and approving all AI-generated content before posting
• AI may occasionally produce inaccurate, inappropriate, or unsuitable content
• RankReview is not responsible for any consequences arising from posting AI-generated content
• You should verify all factual claims in AI-generated responses

7. Subscription and Payments

7.1 Subscription Plans

We offer various subscription plans with different features and pricing. Details are available on our Pricing page. Plans may include free trials with limited features.

7.2 Billing

• Paid subscriptions are billed in advance on a monthly or annual basis
• All prices are in Indian Rupees (INR) unless otherwise specified
• Prices include applicable Goods and Services Tax (GST)
• Payment is processed securely through Razorpay

7.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorize us to charge your payment method on file for renewal payments.

7.4 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial subscription periods
• We may offer refunds at our sole discretion in exceptional circumstances

7.5 Price Changes

We reserve the right to modify our pricing. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

8. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Post, generate, or publish fake, fraudulent, or misleading reviews
• Manipulate or attempt to manipulate star ratings or review metrics
• Access or attempt to access accounts or data belonging to other users
• Interfere with or disrupt the Service or associated servers/networks
• Reverse engineer, decompile, or attempt to extract source code
• Use automated scripts, bots, or scrapers to access the Service
• Transmit viruses, malware, or other harmful code
• Violate any applicable local, state, national, or international law
• Infringe on the intellectual property rights of others
• Harass, abuse, or harm other users or individuals
• Use the Service to send spam or unsolicited communications

Violation of this Acceptable Use Policy may result in immediate termination of your account without refund and possible legal action.

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including its design, features, functionality, documentation, and all related intellectual property, is owned by RankReview and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

9.2 Your Content

You retain ownership of your business data, reviews, and content you provide through the Service. By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display your content solely for the purpose of providing and improving the Service.

9.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to compensate you.

10. Third-Party Services and Links

The Service may contain links to or integrate with third-party websites and services, including but not limited to Google, WhatsApp, Razorpay, and others. We do not control these third-party services and are not responsible for their content, privacy policies, or practices. Your use of third-party services is at your own risk and subject to those services' terms and conditions.

11. Data and Privacy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of any content
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy of AI-generated content

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RANKREVIEW AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from your use of or inability to use the Service
• Any damages arising from unauthorized access to your account or data

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR INR 10,000, WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify, defend, and hold harmless RankReview and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) content you submit through the Service; or (e) your violation of any applicable laws.

15. Termination

15.1 Termination by You

You may terminate your account at any time by cancelling your subscription and contacting us to delete your account.

15.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to other users, us, or third parties.

15.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account data, although some information may be retained as required by law or for legitimate business purposes. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

16. Dispute Resolution

16.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@rankreview.in and attempt to resolve the dispute informally for at least 30 days.

16.2 Arbitration

Any dispute that cannot be resolved informally shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in New Delhi, India, in English.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Subject to the arbitration provision above, you agree to submit to the exclusive jurisdiction of the courts located in New Delhi, India.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RankReview regarding the Service.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

19.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
